Head of Legal (VP) (Hylife IBC)

JOB SUMMARY

The Head of Legal is responsible for overseeing all legal affairs of the holding company and its subsidiaries, ensuring compliance with local and international regulations, mitigating legal risks, and providing strategic legal counsel to the executive team.

KEY RESPONSIBILITIES

  1. Legal Strategy & Advisory
  • Develop and implement the company’s legal strategy in alignment with business objectives.
  • Provide expert legal advice to the Board of Directors, CEO, and senior management on corporate governance, regulatory compliance, and risk management.
  • Monitor changes in laws and regulations that may impact the business, ensuring timely updates to policies and procedures.

2. Corporate Governance & Compliance

  • Ensure compliance with all corporate, regulatory, and industry-specific legal requirements.
  • Oversee the drafting and review of corporate policies, contracts, and agreements to safeguard the company’s legal interests.
  • Liaise with regulatory authorities, external legal counsel, and government agencies as required.
  • Establish and manage the company’s compliance framework, including anti-corruption, anti-money laundering (AML), and data protection laws.

3. Contract Management & Negotiation

  • Review, draft, and negotiate a wide range of contracts, including joint ventures, mergers & acquisitions (M&A), financing agreements, and supplier contracts.
  • Ensure all contractual obligations align with company objectives and mitigate potential risks.

4. Litigation & Dispute Resolution

  • Manage legal disputes, litigation, and arbitration matters to protect the company’s interests.
  • Coordinate with external law firms and legal advisors to handle complex legal cases.
  • Develop strategies to minimize legal exposure and resolve conflicts efficiently.

5. Risk Management & Legal Compliance

  • Identify legal risks across business operations and propose mitigation strategies.
  • Conduct legal due diligence for business transactions and investments.
  • Implement internal controls to minimize legal and reputational risks.

6. Leadership & Team Management

  • Lead and develop the legal team, ensuring continuous professional growth.
  • Foster a strong legal culture within the organization by providing training on legal matters to management and employees.
  • Act as a key advisor to the Board and executive team on high-impact legal decisions.

QUALIFICATIONS & REQUIREMENTS

  • Bachelor’s degree in Law
  • Licensed Lawyer from the Lawyers Council of Thailand
  • Thai nationality
  • 10+ years of legal experience, preferably in a multinational corporation or holding company.
  • In-depth knowledge of corporate law, commercial contracts, regulatory compliance, and dispute resolution.
  • Strong experience in corporate governance, M&A, and risk management.
  • Proven leadership and strategic advisory capabilities.
  • Excellent negotiation, communication, and problem-solving skills.
  • Ability to work in a fast-paced, high-stakes environment with senior executives.

PREFERRED EXPERIENCE:

  • Previous experience working in a holding company or diversified business group.
  • Exposure to cross-border transactions and international legal frameworks.
  • Knowledge of intellectual property, tax law, and employment law is a plus.
